These Terms of Service ("Terms") govern your use of the website nexusaistudios.com and the AI operations services provided by Mind Vision LLC, operating as Nexus AI Studios ("Company," "we," "us," or "our"). By accessing our website or engaging our services, you agree to these Terms.

1. Services
Mind Vision LLC / Nexus AI Studios provides AI-powered business automation services including, but not limited to, AI call-handling agents, appointment booking automation, lead follow-up systems, and operational workflow automation for trades and service businesses.
All services are provided subject to a separate service agreement or order form entered into between Mind Vision LLC and the client. These Terms apply to use of our website and govern the general relationship between you and Mind Vision LLC in the absence of a separate written agreement.
2. Eligibility
By using our services, you represent that you are at least 18 years of age, have the authority to enter into a binding agreement on behalf of yourself or your business, and will use our services only for lawful business purposes.
3. Account and Client Responsibilities
Clients are responsible for:
- Providing accurate and complete information during onboarding and throughout the engagement.
- Ensuring that any phone numbers, contact lists, or customer data shared with Mind Vision LLC have been lawfully obtained and that appropriate consents are in place.
- Complying with all applicable laws, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and any other applicable telecommunications or marketing regulations.
- Maintaining the confidentiality of any login credentials or access provided.
4. SMS Communications
Mind Vision LLC and its AI agents may send SMS messages on behalf of clients to end customers as part of the services. Clients must ensure that all end customers have provided appropriate consent to receive such messages. Mind Vision LLC is not liable for client failure to obtain required consents.
For communications originating from Mind Vision LLC or Nexus AI Studios directly to prospective clients: by providing your phone number to us, you consent to receive SMS messages. Reply STOP to opt out at any time.
5. Payment Terms
Service fees are outlined in each client's individual service agreement. Setup fees are due upon execution of the agreement. Monthly retainer fees are billed in advance on a recurring basis. All fees are non-refundable except as expressly stated in the applicable service agreement.
Mind Vision LLC reserves the right to suspend services for accounts that are more than 15 days past due.
6. Intellectual Property
All content on nexusaistudios.com — including text, graphics, logos, and software — is the property of Mind Vision LLC and protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from our content without prior written consent.
Custom AI agent configurations, scripts, and workflows built for a client under a paid engagement remain the intellectual property of Mind Vision LLC unless otherwise specified in a written agreement.
7. Disclaimer of Warranties
Our website and services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Mind Vision LLC does not warrant that services will be uninterrupted, error-free, or that any particular business outcome will be achieved.
8. Limitation of Liability
To the fullest extent permitted by applicable law, Mind Vision LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of revenue, profits, or business opportunities — arising out of or related to your use of our services, even if Mind Vision LLC has been advised of the possibility of such damages.
Mind Vision LLC's total liability to you for any claim arising from or related to these Terms or our services shall not exceed the total fees paid by you to Mind Vision LLC in the three (3) months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless Mind Vision LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of our services, your violation of these Terms, or your violation of any third-party rights.
10. Termination
Either party may terminate a service engagement per the terms of the applicable service agreement. Mind Vision LLC may suspend or terminate access to its website immediately and without notice for violations of these Terms.
11. Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the state or federal courts located in Sheridan County, Wyoming.
12. Changes to These Terms
Mind Vision LLC may update these Terms at any time by posting the revised version on this page. Continued use of our website or services after changes are posted constitutes your acceptance of the revised Terms.
